1. Scope of Engagement & Platform Licensing
These Master Terms of Engagement ("Terms") govern all commercial, technical, and advisory relationships between Innoanswers Corporation ("Innoanswers") and the commissioning client organization ("Client"). Specific statements of work ("SOW"), software licensing schedules, and advisory engagement letters incorporate these Terms by reference.
Innoanswers provides both proprietary turnkey platforms (InnoCore™, InnoFlow™, InnoGuard™, InnoData™) licensed for private on-premise or sovereign VPC execution, and bespoke systems engineering services executed under milestone-driven delivery schedules.
2. Intellectual Property Ownership & Zero Lock-In
All custom software source code, microservice pipelines, GitOps configurations, fine-tuned weights, prompt schemas, and architecture blueprints developed specifically for the Client under a Statement of Work transfer 100% to the Client upon final milestone acceptance. Clients retain perpetual, irrevocable, royalty-free rights to all bespoke deliverables with zero vendor lock-in.
Innoanswers retains ownership of its foundational background frameworks, core product engines (InnoCore, InnoFlow, InnoGuard, InnoData), and general engineering methodologies, which are licensed to the Client on a perpetual, enterprise-wide basis as specified in the applicable Software License Agreement.
3. Service Level Agreements & Latency Commitments
For enterprise deployments operating under an active Mission-Critical Support SLA:
- High Availability SLA: 99.99% availability for dedicated cluster orchestrations running in multi-AZ configurations.
- Deterministic Latency: P99 retrieval and token latency guarantees as specified in the vertical tier (e.g., sub-38ms for Capital Markets, sub-12ms for Tactical Defense).
- P0 Critical Incident Response: Dedicated incident commander assigned within fifteen (15) minutes, 24x7x365.
4. Bilateral Confidentiality & Standing Mutual NDA
All technical architectures, trade secrets, business metrics, and algorithmic weights exchanged between Innoanswers and the Client are protected under strict bilateral confidentiality. Neither party will disclose proprietary information without prior written consent. Standing Mutual NDAs remain in force for a minimum of two (2) years following engagement completion, with trade secret protections surviving in perpetuity.
5. Warranties, Compliance & Model Risk Exclusions
Innoanswers warrants that all deliverables are engineered in accordance with recognized industry best practices (including ISO 27001, SOC 2 Type II, and NIST AI Risk Management Framework standards) and are free from malicious code or backdoors.
Because foundation models inherently operate on probabilistic reasoning, Innoanswers enforces automated continuous guardrails (InnoGuard™) and deterministic evaluation pipelines. Client acknowledges that production deployments in regulated environments must incorporate human-in-the-loop validation checkpoints for high-consequence automated decisions.
6. Governing Law & Jurisdiction
These Terms and all related agreements shall be governed by and construed in accordance with the laws of the State of New York, without regard to conflict of laws principles. Any legal suit, action, or proceeding arising out of or related to these Terms shall be instituted exclusively in the federal or state courts located in the Borough of Manhattan, New York City.
